Would anyone consider settlement based on a third parties approval or non approval a fair and reasonable outcome for a partner in an agreement- I don't think so!
BHP agreed to farm in and drill SC55 and then pulled out with a penalty based on a third parties action.
I don't think my lawyer would advise me that was a wise decision unless the outcome was guaranteed, or a clause was also in place in the case of the third party NOT giving approval and the defaulting partner then suffering further penalties.
Start asking the hard questions and let's see if the good and sound answers start coming forth.
