"why the above outcome doesn't make sense"
I'm no tax accountant but I'd imagine that one reason would be that the accumulated tax losses cannot be utilised by ENI. You can't just buy a business and utilise it's prior year losses like that. The ATO have their 'tests' for you to satisfy...
So, with that off the table, at what price per share do you believe ENI would be able to acquire the requisite 75% + of the share capital?
