    Notwithstanding you claim to “understand the Position of ANZ Nominees”, it is clear from the comments in your initial post ;
    (a) “ANZ Bank with all their Profits and as the major Shareholder of THR, through ANZ Nominees”
    and
    (b) “after all it is Interests of ANZ Nominees”
    this is not the case.

    The fact the shares are registered in the name of ANZ Nominees does not mean that ANZ is the beneficial owner of the shares. Put another way, ANZ is not the major shareholder of THR as you state.

    As ANZ Nominees act only in a custodian role for the actual holder, they couldn’t care less about the operational/finance activities of THR – that is a matter for the underlying holder of the stock to worry about.


    For the purpose of privacy some clients do not wish to be identified as shareholders of the companies in which they own shares and will therefore wish to appoint nominee shareholders. These nominee shareholders will hold the shares on trust for the beneficial owners and only they will be identified on the register of shareholders.

    The nominee is not the legal owner of the shares, and the underlying investors have the "beneficial interest" in the shares: i.e. they are entitled to all income and capital gains on them.
