I guess an advantage to people that have the millions of dollars to buy a significant stake at a discounted rate, rather than a small parcel at a time. You may get a chance to buy at 0.40c on market anyway.
Dilution is only when new shares are issued. No new shares, no dilution. That's not to say that the price may drop, but price drop is just that, and is not the same as dilution.
I guess an advantage to people that have the millions of dollars...
