If an announcement is going to be deemed material and will affect the share price whilst matters are being resolved and in order not for "leaked" information during the process, a TH is compulsory and important.
If it involves listed companies such as Intel, GE, Microsoft etc etc, if any deal is to be concluded and if such deals will be material to these listed companies, they too have to make announcements. That's one of another probable reasons for XPED to request for a TH.
