Based on this, the Proposed Transaction is considered fair to unitholders"
- MDT Unitholder benefi ts
There is a range of benefi ts the Non-DDR Directors
believe will arise for Unitholders as a result of the
Proposed Transaction.
Following completion of the Proposed
Transaction, MDT will almost exclusively own and
control the remaining real estate assets within
the US LLC joint venture providing greater ability
to access capital markets and implement asset
disposal options.
MDT’s pro-forma net tangible assets (NTA) per
Unit will increase by 4.2% from A$0.38 cents per
Unit to A$0.40 cents per Unit as a result of the
Proposed Transaction.
MDT’s look-through cash position is materially
improved if the Proposed Transaction is approved.
MDT’s portfolio metrics will remain broadly static
and the Proposed Transaction will increase MDT’s
ownership to 100% in its top fi ve assets.
MDT will be granted an additional right to redeem
its interest in the Mervyns LLC at any time
following 31 October 2009.
