The 'Notice of General Meeting/Proxy Form' posted on the 19/04/2021 outlines all of this in the 'Independent Expert's Report' by Bentleys. This report contains the advantages and disadvantages of the acquisition of Appstablishment and, for @Warnie's "benefit" it also contains the Appstablishment financials.

For Warnie's target audience, ie those he thinks he can scare into selling their shares or voting no for the acquisition, here is the list of advantages and disadvantages as identified by Bentleys in their 'Independent Expert's Report.'

If CRO is taking over Appstab...

Why does that not include the ownership of the licence as per 8.2.3.1

Was that negotiated out of the takeover.

I have voted in favour of the takeover, but wonder about the story behind that aspect.
