I think it is fair to believe that SGH very well knows what they presented/said etc.
I believe the warranty claim would question what information Quindell provided to them which formed the basis of their evaluation and after doing a thorough evaluation of the acquired business - SGH has unequivocally came to the conclusion that original documentation and information was wrong and misleading.
This case has been in the making for a while - do not believe that SGH spruced this up as a last gap effort to get their debt paid up. I also think they would want to expand the case past the escrow monies.
