Have you read the announcement "cleansing notice for rights issue?" it states that no shares will be issued if their voting power will exceed 19.99% of the total votes for HAV. I think you'll find Giles is taking up as much of the placement as he can (including any shortfall) without exceeding 20% of total control in the company.
