Amazon can have the shares vest and not exercise, they will just sit there same as all shares on market. but they do expire I think in 2026. so I'd imagine Amazon will exercise at or before expiry date or as and when each tranche of shares vest.
Z1p can't sell or do anything with them as they are a warrant and subject to vesting period and milestones being met, they are legally Amazon's shares.
Z1p however will keep the shares of the warrants expire , however it is extremely unlikely Amazon will forget to exercise before expiry
