For the sake of getting this JV right, the company should do as much diligence as possible and not worry about getting it out before the rights close date.

I am a little concerned that if the SP is above the rights price, the underwriter has sole discretion for the allocation of the shortfall. I.e if existing holders apply for the shortfall, the underwriter can knock them back. But I guess that the way it goes.
