    Unity Mining Limited (“UML”)

    ASX refers to your email of 20 May 2016 raising concerns that the market in UML’s securities is not fully informed because UML is allegedly withholding information about exploratory drilling at its Henty Gold Mine Project.

    As a listed entity, UML is required to comply with Listing Rule 3.1 and as a mining explorer and producer, comply with chapter 5 of the Listing Rules, including the JORC Code. In this regard I note the Quarterly Activities Report for the quarter ended 31 March 2015 lodged by UML on the ASX announcements platform on 20 April 2016. That report contained an overview of recent exploration results and activities at the Henty Gold Mine Project (refer pages 5 to 26).

    Your complaint does not provide details of the information you are concerned UML is withholding. If you have such information to provide to us, please send to [email protected]. ASX will consider it and if UML is found to have breached the Listing Rules, ASX will take the appropriate action.

    Matters outside ASX’s jurisdiction

    Please note that in relation to the Adjourned Scheme Meeting held on 20 May 2016 for the proposed scheme of arrangement to be made between UML and UML shareholders (other than excluded shareholders) in relation to the proposed acquisition of all of the shares in UML by Diversified Minerals Pty Ltd (the “Scheme”), UML provided its shareholders with meeting materials prepared pursuant to section 412(1) of the Corporations Act (“Scheme Meeting Documentation”)1. As your concerns about UML’s compliance with its disclosure obligations in relation to the Henty Gold Mine Project would also apply to its Scheme Meeting Documentation, we suggest you raise your concerns with the Australian Securities & Investments Commission (“ASIC”) as the organisation responsible for regulating the Corporations Act and to do so urgently given the Second Court Hearing to approve the Scheme is scheduled for 26 May 2016.
