I think someone else posited that if the price is below the CR then people will buy that instead of participating in the CR. That could cause a shortfall in the CR and force ASM to go cap-in-hand to financers (who were probably the ones selling below) to make up the shortfall and probably at an even lower price. It doesn't really make sense to me either, but I haven't heard a better option.
