FYI, many, if not most p ments to soph investors do already contain a clause for no sale up to 12 mths as qualification for getting the stock and your ignorance of this is telling. There are out clauses of course but it is ultimately a gentlemans agreement. Its "enforced" by the broker not getting future issues with repeat stag offenders and it works by and large.
Pro rata issues however, are a clear and evident weight on stocks so your bone picking is also misdirected.
If companies placed an escrow on stock which is what you want, they would never raise a dime. You are actually focusing on an issue which is not a problem. Its yours, and many others cynical view of normal business practice that is the issue.
The inability for people to accept negative stock movement being as natural as the tides probably fills up half the threads here.
