Not necessarily. ALB has budgeted X for the takeover for the business. If the ALB have bought a certain number of shares at a price less than 3.00 then they could buy over the 3.00 mark to soak up the pool of shares available. At present given the share price has been below 3.00 they are sitting at X-Y = 6.6B - some value. As long as they keep within the overall 6.6B budget they will be ok to pay over the odds for a certain number of shares.
The above doesn't work if there is another buyer in the mix.
