Seriously, the FAS offer would have to be very compelling if they get this one over the line. I must say as a shareholder of GWR, I have perceived sp manipulation at times when GWR was about to run, particularly at the end of sessions - I still can't believe this is circa $2. Cape Lambert (CFE) would be a far superior merger suitor in my opinion - soon to be cashed up and with an excellent resource, unless FAS has a mega rabbit in the bag that we dont know about.
Shareholders should demand a recent JORC of the resource as a basis for proper valuation - there are specific requirements in the Corporations Act - to ensure that the offer price is "fair and reasonable" for shareholders.
I imagine there could be a request by disenting shareholders to call in an independent expert to consider the merits of such a merger. Directors of GWR have a fiduciary duty to ensure that shareholders receive a price for their shares that is "fair and reasonable".
