I agree - this move may have little effect on the chances of the TO - in fact it may even backfire on the BOD as you have suggested.
It has revealed the hand of the BOD in my view - as the perception is that this is a nasty attempt to squash resistance.
Perhaps it will anger the small holders into holding on to their shares and vote NO just to strike out at the BOD
