The conditions attached to the offer include: -
(1) Wattyl not paying any dividend in excess of 100% of WYL's reported net profit after tax before significant items for any period after 30 June 2005
(2) S&P 200 not falling below 4200
(3) minimum 90% acceptance by WYL shareholders
Wattyl have now scrapped their palnned 40c fully franked special dividend given the terms of Barlowworlds offer.
