Considering the current financial climate having that sort of remuneration for that sort of performance...it just very questionable for a $15M MC company to award almost 1/10th of its MC to the CEO, or if we look at it from the % of EBIDTA perspective its even more ridiculous, and then if we look at it as a % of post tax earnings it just becomes stupid.

He should be on 300-400k tops, rest should be done as a performance options/shares, this is well aligned to other small caps in the tech sector. If he does not want it to go that way - he can walk.
