Capital raising
G8 Education Limited (G8) (ASX:GEM) is pleased to announce a capital raising of $100 million comprising a placement of ordinary shares to institutions and sophisticated investors in two tranches (Placement) of $50 million each.
The proceeds from the capital raising will be used by the Company to fund the acquisition of Sterling Early Education Limited and 91 childcare and early education centres.
Placement
The Placement was conducted in two tranches:
? Tranche 1: $50 million placement to institutions and professional investors, under the Company’s capacity pursuant to ASX Listing Rule 7.1 (Tranche 1);
? Tranche 2: $50 million placement to institutions and professional investors, conducted in conjunction with the Tranche 1 Placement, to be completed conditional upon shareholder approval (Tranche 2).
The Tranche 1 and Tranche 2 Placements were conducted together and offered to institutions and professional investors at an issue price of $4.60 per Share.
Completion of the Tranche 2 Placement is conditional on Shareholder approval at a general meeting of Shareholders to be held on 29 April 2014. A Notice of Meeting and Explanatory Statement with respect to the Meeting will be separately provided to Shareholders shortly.
Share Purchase Plan
In conjunction with the Placement, Eligible Shareholders will be offered the opportunity to participate in the Share Purchase Plan. The Share Purchase Plan will offer Shareholders the opportunity to subscribe for up to $15,000 of the Company’s shares on the same terms as those shares issued under the Placement.
A Share Purchase Plan Offer Document will be separately provided to Shareholders shortly.
