But if they were meant to be escrowed for two years and two years have elapsed, they could be out of escrow.
In any case, if the lapsing depends on dates or conditions, then they should be stipulated in the 3B. So another possibility is that someone at the company has made an error and forgotten to include that information, or there are more shares to be issued.
