The shareholder restrictions were set up as one of the hurdles to getting the company listed was the concerns about the company once publicly listed being taken over and totally removed from farmer control. Alas at the time it was also included that a shareholder meeting could be held to remove the restrictions, this appeased both sides at the time.
Personally I think in the current climate a takeover for BGA from a foreign company would have very little chance of clearing the hurdles to get across the line.
