    suggest you do more research re the requirement of physical presence of directors.

    My understanding is that it does not matter which company rep is at the meeting.It is highly unlikely that Peter L or current Borad would fly to Bermuda just to chair endorsement of a current director and approve issue of shares.Proxy????
