Found the reference for the timeframe of payment and shareholder approval.
On page 3 of Intec's Quarterly Report of 22/1/09 it is stated as follows;
"After the formal execution of the Contract of Sale and the submission of Intec's 10% (A$2 million) deposit on 28 February 2009, Delta needs to obtain shareholder and regulatory approval for the sale of the Mayfield site."
Thus shareholder approval will be sought after the $2 million is paid.
