I believe it's done on a majority, ie needs 50.0000000001% votes against to lose spot on the board.
CE and The Chilean guy had over 17% against last year- and that was with the SP well over $1 and a bunch of promises of things about to look up. Can't imagine there are too many SH now who are still happy with the way the board have been running the company lately?
