Well I won't need to answer that one as you've answered it yourself.
3) CVN will not have much cash on hand after paying a lot of taxes in May, oil is a risky business and therefore I am not the moment more inclined to contemplate their needing to raise cash if production doesn't improve. If you think the company has $100mm (or even $30mm) to spare then imho you need to do better research.

Making everyone happy is a bit like belief in the tooth fairy. I am NOT happy when companies do deeply discounted SPPs, or placements to insto's. Both disadvantage moderate sized holders.
