The NSW Labor party would make the offer to Carr to fill the vacancy in the Federal Senate - the senate consists of members elected by state. The replacement for a vacancy is made by the appropriatte state - of course the Feds get involved and it's always done by agreement.
Once he is in the senate Gillard is free to give him any job she likes.
He of course has to take oaths etc but basically he's in as of now.
