Yep - the wording you have quoted is trying to address the issue I referred to. You don't have to use exactly that wording and some companies do adopt a slightly different approach, but it is a requirement that the proxy appointment has some form of express or deemed authorisation that the chair may vote notwithstanisng potential interest in a kmp remuneration resolution.
