Can someone explain to me what the benefit to Bolton winding up...

Can someone explain to me what the benefit to Bolton winding up the company is? I gathered that he was hopeing to get the 5c instalment before the windup, what I don't understand is why he'd buy such a large chunk of when it leaves him exposed to a huge debt, then hope that he can make something out of it by legal action. Why did he buy them in the first place?
