They don't have to value them in the same way, they are comparing what MAK are offering (their shares) with what they are getting in BON (according to their stated methodologies).
eg if MAK were paying 5c a share cash whatever MAK were supposedly worth would be completely irrelevant.
I don't agree with flyguy, MAK are paying a premium for control over the independent valuation. Nothing unusual about that.
