Trying to avoid posting but my answer to your specific question is
1. It is fine to appoint Mark as it would be a given that if he had the qualifications almost 3 years ago , you would expect he had the right credentials to protect the IP
2. After the plant had issue after issue , you might of thought an independent board may have reviewed the performance , just like the board did with Impex, and myabi .
