Parts of a Non-Disclosure Agreement
All NDAs should include these specific elements:
IDENTIFICATION OF PARTIES
This section, also known as “parties to the agreement”, identifies the people and/or entities involved in the NDA. This section describes the disclosing party and the recipient using names and addresses. You may also want to include relevant parties such as attorneys, accountants, or business partners.
DEFINITIONS
The Definitions section mentions different types of information covered by the NDA and establishes rules for handling the information. It clearly defines what information is should remain secret.
OBLIGATIONS
As the name suggests, this section defines specific behaviour expected from each signatory in case of sharing information but also lays out the consequences of breaching the agreement.
SCOPE

On that note, remember that it’s absolutely crucial for you to sign an agreement as soon as you’ve decided to engage in a joint venture or other business relationship. The sooner you sign an NDA, the sooner you can move your company forward.
So as you can see, Brainchip as a company needs to inform ASX of any updates and it is decided by ASX whether something is Announcable or not. We have seen this recently when Brainchip releases press releases. Tells me they possibly tried to do an Ann but it was deemed unworthy by ASX.
I am invested in other companies such as WBT and RAC. Those two companies have had the same dilemma, so I am aware. For those who would like to dig a bit further, please do.
Also, NDA may not be directly with Mercedes as some of the journos are painting the picture. We have signed IP contracts with Megachips and Renesas. Nothing stops Mercedes from approaching those two companies and using Akida Technology. And as such, Brainchip doesn't make the Announcement and disclose it, because Brainchip could be dealing with Megachip and Renesas and not Mercedes Benz directly.
Many of us have witnessed these sort of short attacks before, so no matter what happens, I hold.
I remember these downers do the same when BRN was trading at pennies. They will continue to do this when we are trading in double digit dollar amounts.
