About this guideThis guide contains an overview of the short selling provisions of theCorporations Act 2001 and the Corporations Regulations 2001 as they relateto securities, managed investment products and certain other financialproducts. In particular, it addresses the naked short selling prohibition andthe reporting and disclosure obligations.This guide is particularly relevant to institutional investors and brokers whoare involved in short selling activity

Short selling is regulated by the Corporations Act 2001 (Corporations Act)and the Corporations Regulations 2001 (Corporations Regulations).Short sales are generally referred to as naked short sales and coveredshort sales: see RG 196.2–RG 196.6.In Australia, covered short sales are permitted: see RG 196.3.Naked short sales are prohibited except where ASIC has given relief: seeSection C.If you make a short sale on a licensed market, you may need to complywith reporting and disclosure requirements: see Section D.Failure to report is an offence under s1311: see RG 196.10.
