The Directors of Dolomatrix International Limited (ASX code DMX) are pleased to announce
the Company has concluded a binding Heads of Agreement with the Al-Othman Group of
Saudi Arabia for a strategic investment in DMX in conjunction with the issue of a licence for the
use of Dolocrete®.
The parties are finalising the terms for an Agreement to Licence this exclusive use of the
Company’s Dolocrete® process in the Territory. The exclusive Territory will cover the areas of
Saudi Arabia, Kuwait, Bahrain, Qatar, UAE and Oman.
The Al-Othman Group has taken a placement in Dolomatrix of AU$500,000 as part of its long
term strategic commitment. The issue price for this placement is 2.5 cents per share.
The Agreement to Licence is a performance based contract which allows further investment by
the Al-Othman Group provided it achieves certain pre-agreed targets within a specified time
period.
The agreed terms require the Al-Othman Group of Companies to finalise a detailed feasibility
study, obtain regulatory approvals and enter into an Exclusive Licence Agreement with
Dolomatrix within 90 days from the execution of the Heads of Agreement and Agreement to
Licence, at which point 5 million options may be exercised at 2.5 cents per share.
The second performance milestone requires the minimum purchase of Dolocrete® to the value
of AU$2 Million within the first 12 months of operation, at which point a second tranche of 5
million options may be exercised at 2.5 cents per share.
