I haven't look into it. but my guess is when options are issued to directors & whoever, they have a market price, which results in the issue being taxable income to the recipient. the recipient is often deemed to have received the options are their market value. so the $1M is possibly to compensate the recipients of the options for income tax they may have had to pay upon deemed 'income' that was never actually received.
