I am not sure why you say the mumand dad investors would get 4.50 or so and Consmin $6 or $7 . That is against the Corporation act and the law. You can offer two shares different values, so I am not sure how you think this could happen.
I have just been through a similiar situation with ESG STO takeover and STO were forced to push the share price to the cash offer on the day of transaction.
