Thanks for verifying that for me, i didn't know about the accountant certificate part of it. I was under the assumption that "sophisticated investor" meant someone with a fair amount of money and portfolio who gets sold the shares (normally at a discounted rate) also with an understanding that they will hold the shares for a fair amount of time so that the new issue does not have such an impact on sp
