4. The PPSA was not going to be signed anytime soon. Still possible that it is signed at the mid-sep Presidental site tour. Hence farm-in couldn't be reached due to signing conditions. The only option from a risk perspective was to do a CR now.
IMO this makes IVZ more attractive for a takeover in the future. Retaining 80% ownership makes the transaction 'cleaner' than if we had already farm downed
