Lets be real. You dont own the stock so you will look for negatives to justify your opinion.

There is no balance in what you post

The purpose of the raise is obvious.

It's to strengthen their cash position so that
1. They have the ability to make alto payments in cash
2. They have enough working capital to get to cash flow positive which I think is probably June next year.
They may get to cash flow positive for the months of Nov and Dec this year but revenues will drop back again in 1Q next year
The big unknown is Covid and how much and for how long this will impact revenues.

My concern is that they really need to raise 4M and I dont see that happening as their just woud not be enough support from Fippers/investors.

There is absolutely no chance of any sort of aquisition.
