    The Three key points to CER's success in this deal:


    (1) Risk gone - CER is no longer at the high levels of risk prior to the CNP bailout.

    (2) Dillution - There is nun

    (3) Distributions - They seem like they continue to be made.

    The market will react very very positively to this (IMO)
