To be fair - in my experience, those are very standard clauses that can be found in most prospectuses distributed by many small cap companies.
It's not a definitive statement as in, 'this will happen' but more of a, 'this might happen'. Stock standard disclaimer.
Fact is, all small caps need dollars as there is often significant time lags between the point at which income exceeds expenditure. Hence, the very real need for small caps to have very prudent capital management structures / processes in place.
CR's and CN's are a constant companion of the Boards of many small caps. Nothing negative in that per se.
