ML is the beneficial owner of 64m shares. Since BOA owns/controls ML they indirectly have the same beneficial ownership and must disclose. Their % ownership of the company has reduced due to the recent placement (although their absolute holding increased, they must have taken up some shares but not proportionally to their prior holding).
