Remember the director's purpose is to look after the owner's interests. Not to enrich themselves.
Really, they should be focused on improving the growth of the business and in turn the Director Funds pool will increase to match the growth of the company. ie if in a few years time revenue is 200M then NED fees will go from 50K(800K pool) to 150K(2.4M pool) and so on and so forth.
NEDs have to buy 50K minimum worth of stock over a 5 year period, it is encouraging if they buy more than that.
Of other interest this director purchased $266K of another stock she is a director off in 2023.

The other mob had acquired an amount of stock(although not a lot compared to the float) through a dilutive process organised by themselves to save their own bacon(not looking after owner's interest) IMHO this could have incentivised them to off load the company to any offer and walk away with a nice little retirement pot.
Personally, I want a large retirement pot paying me dividends and I think IPD is a great candidate to assist in achieving this.
