Hi Kazintsky. Ive also been our of the loop (very busy with work, a contest at work, work on my house and setting up a surf club for our little sphere of industry) so can't comment about the escrowed shares until I have the time to look into it.

As for the director resignation, well they happen all the time.
Peoples (directors) circumstances and needs change as do those of the company involved. Much like an employer/employee relationship, nobody stays in the same job forever anymore just as over a period of time directors come and go. To know if there was anything personal in it would only be uninformed guesswork. There is a place available on the board now and the interesting thing for me is who is likely to fill it?

Perhaps someone from within related industry, a major investor perhaps coming in who demanded a seat on the board or perhaps the departing director wanted to move state/country or just to go on a prolonged surf trip?!
Who knows, I wish him well, but I do find it for interesting to see who is earmarked for the vacant spot that anything else.

So I think this may well be a positive for the company but until we know we are all just guessing. The SP seems non plussed ATM, its waiting in a holding pattern with the rest of us. Interesting, there could be more afoot here than meets the eye, but like I said we just have to wait and see...
