Sorry, but you're off "slightly" with the SOI - It's over 2.3B at the moment. Add the last raising just done of 300M for $6M cash; then you will also have 100M oppies that Clee has for between 0.015 to 0.025 from cap raisings, and then you have the proposed 120M or so shares for "Performance Bonuses". If the resolutions go through at the Extra Ordinary General meeting, it will mean they have current SOI of 2.3B, plus what they are issuing for the $6M, plus what's mentioned above and they want it all not to go against the current 15% they can issue.
Final wash means potentially you could have about 2.6B shares issued and would still have the 15% and 10% rule to issue more - so I guess people talking about an SOI consolidation could be a good thing. When this BOD came on board OVT had a little over 500M shares issued. So far new BOD has issued over 2B in shares. I was in favour initially as they had to pay down debt, but then they just kept issuing them. It won't stop any time soon as they need a lot more money to be able to get into USA BNPL, so I hope you are all ready for continued dilution.
