That post misses the bit about the 25M oppies to be issued to Clee and Barclay - that is also to be excluded. (Resolution #2)
The 120M shares for Employee Incentive Plan - they also want this excluded (Resolution #3)
So total (including the 300M for the $6M raising) equals 445M shares - they want all of this excluded from their 15% raising ability. Then they still sit on the additional 10% that has already been approved.
In regards to retail having a say, I doubt that will happen. The big holders have too many shares for it to go any other way than what the board wants - at least IMO.
