Unless there is some special company constitution which I highly doubt, a2m would be able to call a shareholders meeting and pass any resolution they wish which would include sacking the Board and electing their own board. That is the whole point of gaining a controlling interest.
Being a minority shareholder sucks. I suspect in this case, this was the price for a 2nd Chinese license.
