Maybe there isn't much interest from anyone else. Paying off debt with debt from Bright just gives Bright more control over SM1. Since it is a related party transaction, it seems that A2M needs to approve it. Naturally A2M would be advocating its interests with this approval ie sell us the plant with the Chinese license/give us an option to buy it out/give us more control over it/spin it off etc to another Bright/A2M JV, drop the challenge regarding the exclusivity to support the new plant etc
