EMC was a public company that listed on the ASX to avoid bad financing from venture capitalists etc. They needed ASX money and at the time it made sense.

Enter RWL. RWL was a private company. Ron really wants to own the show with a select few mates. But, they saw the quality of EMC's products and traction in China as a compelling must have. They had to do that via the ASX. Does anyone think Ron really wants Fluence as a listed company long term? What advantage would it be to someone with access to huge amounts of private capital already?

So, how does it get done?
Well, you can fight from a stock holding of zero to a controlling interest or you can have a mutually advantageous "merger" to get a large proportionate chunk immediately off market then work for the rest. So you bring in some friends and work the process. You want the lot and the way to do that is to systematically exit those pesky retail holders.

You know the share price will be many multiples of the current value in the future, you are down yourself right now, but you are in for the very very long haul. So apply some weight with the help of your friends and make FLC very boring for a bit, outlast the retail holders, have them sell for lithium or cobalt or whatever seems more attractive and have your friends pick up more themselves. Your not worried about the drop from 80s to the 50's, it will correct when you decide the push down is over. Have some delayed news, anything to make people question things.

And they do. I think we could think that we possibly could have been out of the stock during this drop and wait for the major turn upwards on news etc. The problem is that we may end up seeing the company go back to being private before then after some back room off-exchange stock sells and before major news.

The scenario you painted happens quite regularly in Asia. Over the years, I have seen it happen a few times. After it happened to me in the early 1990’s, I vowed to keep track of the stock even though I have cut my losses. And most times, it rebounds strongly from the point I cut loss. Then I wised up and learnt to invest, not trade.

Yes, it’s unfair for retailers who are spooked. But it’s a legitimate way of the rich and knowledable taking shares from the poor and ignorant.
