because management ( who have the advantage of greater insights than shareholders i.e they know who they are close to closing contracts with whereas because of commercial sensitivity shareholders do not)
KTM ventures ( run by a former board member ) were able to take up short fall, whilst NZ holders were unable to participate (lets just say some had the cards stacked in their favour).
